End-User License Agreement

This End-User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User,” “you,” or “your”) and Syntelli Freight Systems Inc. (“Syntelli,” “Syntelli Freight Systems,” “Company,” “we,” “our,” or “us”) governing your access to and use of any software, website features, digital tools, dashboards, article systems, content management tools, automation tools, administrative portals, logistics technology, mobile-accessible tools, APIs, files, documentation, updates, and related services made available by Syntelli Freight Systems Inc. through https://www.syntellifreight.com or any related Syntelli digital platform collectively, the “Software.”

By accessing, installing, downloading, logging into, registering for, configuring, using, or continuing to use the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, you must not access or use the Software.

1. Purpose of This Agreement

This Agreement governs your limited right to use the Software and related digital services provided by Syntelli Freight Systems Inc. The Software may include, without limitation, website tools, admin panels, freight-related forms, quote request systems, article directories, artificial intelligence assisted article generation tools, search engine optimization tools, customer relationship tools, content management systems, reporting dashboards, automation scripts, logistics workflow tools, and any other digital functionality made available by Syntelli Freight Systems Inc.

This Agreement does not transfer ownership of the Software to you. It only grants you a limited license to use the Software according to the terms stated below.

2. Acceptance of Agreement

You accept this Agreement by performing any of the following actions:

• Accessing or using the Software;
• Logging into an account, dashboard, admin panel, or restricted area;
• Submitting information through the Software;
• Clicking “I Agree,” “Accept,” “Continue,” or similar language;
• Installing, downloading, copying, or configuring any Software component;
• Using any automated article, content, logistics, quote, customer, or administrative feature;
• Continuing to use the Software after this Agreement is posted or updated.

If you are using the Software on behalf of a company, organization, carrier, shipper, broker, vendor, or other legal entity, you represent that you have authority to bind that entity to this Agreement.

3. License Grant

Subject to your compliance with this Agreement, Syntelli Freight Systems Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for lawful business, informational, logistics, transportation, administrative, or authorized website-management purposes.

This license is granted only for the duration of your authorized access to the Software and may be suspended, restricted, or terminated at any time in accordance with this Agreement.

4. Ownership and Intellectual Property

The Software, including all code, design, layout, structure, databases, workflows, interfaces, dashboards, article systems, automation scripts, text, graphics, images, logos, branding, features, functions, trade names, service names, documentation, and related materials, is owned by Syntelli Freight Systems Inc. or its licensors.

All rights not expressly granted to you in this Agreement are reserved by Syntelli Freight Systems Inc. You do not acquire ownership rights in the Software by accessing or using it.

5. Restrictions on Use

You agree that you will not, directly or indirectly:

• Copy, modify, adapt, translate, or create derivative works from the Software;
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software;
• Rent, lease, sell, sublicense, assign, distribute, publish, or transfer the Software to any third party;
• Use the Software for unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purposes;
• Use the Software to transmit malware, viruses, malicious code, or harmful files;
• Access or attempt to access accounts, systems, data, or areas you are not authorized to access;
• Bypass, disable, or interfere with security features, authentication systems, usage limits, or access controls;
• Use bots, scrapers, crawlers, automated extraction tools, or similar systems to copy or harvest data;
• Remove, obscure, or alter copyright, trademark, proprietary, or legal notices;
• Use the Software to violate any law, regulation, contract, privacy right, intellectual property right, or third-party right;
• Use the Software in a way that could damage, disable, overload, impair, or interfere with Syntelli systems or services;
• Use the Software to create competing products, services, platforms, dashboards, logistics tools, or content systems.

6. Authorized Users and Account Security

If the Software requires login credentials, you are responsible for maintaining the confidentiality and security of your username, password, account access, API keys, admin credentials, and related authentication information.

You are responsible for all activities that occur under your account or credentials, whether authorized by you or not. You agree to notify Syntelli Freight Systems Inc. immediately if you suspect unauthorized access, credential compromise, account misuse, or any security issue.

Syntelli Freight Systems Inc. may suspend or terminate access to any account or user if we believe the account has been compromised, misused, or used in violation of this Agreement.

7. Software Updates and Changes

Syntelli Freight Systems Inc. may update, modify, improve, replace, remove, suspend, or discontinue any part of the Software at any time, with or without notice. Updates may include bug fixes, security patches, design changes, feature improvements, workflow changes, database changes, or compatibility updates.

You acknowledge that updates may affect existing workflows, integrations, settings, content, or functionality. Continued use of the Software after updates are made means you accept the updated Software and this Agreement as applicable.

8. Website, CMS, and Admin Tools

If you are granted access to any website management, content management, admin dashboard, article generation, SEO, analytics, or automation feature, you agree to use those tools responsibly and only for authorized purposes.

You are solely responsible for content you create, edit, publish, upload, approve, generate, or modify using the Software. You agree not to publish content that is unlawful, misleading, defamatory, infringing, confidential, harmful, or otherwise inappropriate.

9. Artificial Intelligence and Automated Article Features

The Software may include artificial intelligence assisted tools for generating, drafting, editing, organizing, optimizing, scheduling, or publishing website content, including SEO articles, metadata, headlines, summaries, internal links, keywords, and related materials.

AI-assisted output may contain errors, inaccuracies, outdated information, omissions, unsupported statements, or incomplete information. You are responsible for reviewing, verifying, editing, and approving any AI-assisted content before relying on it or publishing it.

You agree not to use AI-assisted features to generate or publish content that is unlawful, deceptive, harmful, infringing, defamatory, discriminatory, spam-like, abusive, or designed primarily to manipulate search engines without providing meaningful value to users.

Syntelli Freight Systems Inc. does not guarantee that AI-generated or AI-assisted content will improve search rankings, increase traffic, generate leads, comply with all search engine guidelines, or produce any specific business result.

10. User Content and Submitted Data

“User Content” means any text, images, data, files, documents, forms, messages, freight information, shipment details, quote information, customer information, carrier information, article content, settings, keywords, prompts, business information, or other material you submit, upload, enter, generate, or transmit through the Software.

You retain ownership of User Content that you lawfully own. However, by submitting User Content through the Software, you grant Syntelli Freight Systems Inc. a non-exclusive, worldwide, royalty-free license to use, host, store, process, display, reproduce, modify, and transmit such User Content as reasonably necessary to operate, provide, secure, improve, and support the Software and related services.

You represent and warrant that you have all necessary rights, permissions, and authority to submit User Content and that your User Content does not violate any law, contract, privacy right, confidentiality obligation, intellectual property right, or third-party right.

11. Data Backup and Loss

You are responsible for maintaining appropriate backups of important data, content, configuration settings, articles, files, credentials, and records. While Syntelli Freight Systems Inc. may use reasonable measures to protect and maintain systems, we do not guarantee that data will never be lost, corrupted, deleted, altered, delayed, or unavailable.

Syntelli Freight Systems Inc. is not responsible for data loss caused by user error, hosting issues, third-party services, cyberattacks, unauthorized access, software defects, configuration errors, failed updates, database issues, or events beyond our reasonable control.

12. Third-Party Services and Integrations

The Software may rely on or connect with third-party products, services, APIs, hosting providers, analytics tools, payment processors, AI providers, email providers, database services, mapping tools, logistics tools, advertising platforms, or other external systems.

Your use of third-party services may be governed by separate terms, privacy policies, fees, limits, rules, and restrictions imposed by those third parties. Syntelli Freight Systems Inc. is not responsible for third-party services, outages, errors, security issues, pricing changes, data practices, or changes in availability.

13. OpenAI, AI Providers, and API Usage

If the Software is configured to use OpenAI or another AI provider, you are responsible for any API keys, usage limits, costs, prompts, generated content, account access, and compliance with the applicable third-party provider’s terms and policies.

You acknowledge that automated article generation, bulk content generation, or other AI features may result in third-party API charges. You are responsible for monitoring usage, setting limits, reviewing generated content, and preventing unauthorized or excessive API consumption.

14. Fees, Subscriptions, and Payment Terms

Certain Software features may be provided for free, while others may require payment, subscription, licensing fees, usage fees, setup fees, hosting fees, support fees, API usage fees, or other charges. Any applicable fees will be described in a separate order form, invoice, subscription page, service agreement, or written agreement.

Unless otherwise stated in a separate written agreement, all fees are due according to the billing terms presented at the time of purchase or service activation. Failure to pay amounts due may result in suspension or termination of access.

If recurring billing or automatic renewal applies, you authorize the applicable payment processor or service provider to charge the payment method on file according to the billing terms disclosed at the time of purchase or renewal.

15. Taxes

You are responsible for any taxes, duties, levies, or governmental charges associated with your purchase, access, or use of paid Software features, except for taxes based on Syntelli Freight Systems Inc.’s net income.

16. Confidentiality

The Software may provide access to confidential or proprietary information, including business workflows, technical systems, pricing, source code, operational processes, customer information, carrier information, shipper information, internal data, dashboards, or trade secrets.

You agree not to disclose, copy, misuse, sell, distribute, or exploit confidential information obtained through the Software except as expressly authorized by Syntelli Freight Systems Inc. or required by law.

17. Privacy

Your use of the Software may involve the collection, use, storage, or processing of information. Our handling of personal information is described in our Privacy Policy, available at: https://www.syntellifreight.com/privacy.

By using the Software, you acknowledge that you have reviewed the Privacy Policy and understand how information may be collected and used.

18. Compliance With Laws

You are responsible for using the Software in compliance with all applicable federal, state, local, and international laws, rules, and regulations.

If you use the Software in connection with freight, trucking, logistics, carrier operations, brokerage, dispatching, government contracting, compliance, employment, tax, insurance, safety, or transportation activities, you are solely responsible for satisfying your own legal, regulatory, licensing, registration, insurance, tax, safety, and compliance obligations.

19. Export Control and Restricted Use

You agree not to use, export, re-export, transfer, or provide access to the Software in violation of applicable export control laws, sanctions laws, trade restrictions, or other applicable regulations.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not listed on any restricted party list that would prohibit your use of the Software.

20. No High-Risk Use

The Software is not designed or intended for use in high-risk environments where failure could result in death, personal injury, severe property damage, environmental harm, or critical infrastructure failure.

You agree not to use the Software as the sole source of truth for safety-critical, emergency, regulatory, medical, legal, aviation, hazardous materials, autonomous vehicle, or other high-risk decisions.

21. Transportation and Logistics Disclaimer

The Software may include transportation, trucking, freight, compliance, logistics, dispatch, document, article, or quote-related features. These features are provided as business tools and informational resources only.

The Software does not guarantee legal compliance, FMCSA compliance, DOT compliance, insurance compliance, tax compliance, IFTA compliance, IRP compliance, broker compliance, carrier qualification, shipment acceptance, delivery performance, rate accuracy, lane profitability, customer acquisition, or revenue results.

22. Beta Features and Experimental Tools

Some Software features may be labeled or treated as beta, experimental, preview, early-access, pilot, or testing features. Such features may be incomplete, unstable, inaccurate, unavailable, changed, discontinued, or removed at any time.

Beta and experimental features are provided without warranties and should not be relied on for critical business operations.

23. Support and Maintenance

Syntelli Freight Systems Inc. may provide support or maintenance for the Software at its discretion or according to a separate written agreement. Unless otherwise stated in a separate written agreement, Syntelli Freight Systems Inc. is not obligated to provide any specific support, response time, maintenance, customization, training, update, or troubleshooting service.

24. Suspension and Termination

Syntelli Freight Systems Inc. may suspend, restrict, or terminate your access to the Software at any time if:

• You violate this Agreement;
• You fail to pay required fees;
• Your account or credentials appear compromised;
• Your use creates a security, legal, financial, operational, or reputational risk;
• You misuse the Software or interfere with its operation;
• We are required to do so by law, court order, regulator, payment provider, hosting provider, or third-party service provider;
• We discontinue the Software or any related service.

Upon termination, your license to use the Software ends immediately. You must stop using the Software and destroy or return any copies, documentation, credentials, or confidential materials in your possession, unless otherwise required by law or permitted by written agreement.

25. Effect of Termination

Termination of this Agreement does not affect any rights, obligations, or liabilities that accrued before termination. Sections concerning ownership, restrictions, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution will survive termination.

26. Disclaimer of Warranties

The Software is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Syntelli Freight Systems Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted operation, and error-free performance.

Syntelli Freight Systems Inc. does not warrant that the Software will meet your requirements, produce specific results, be compatible with all systems, operate without interruption, be free of bugs or vulnerabilities, or remain available at all times.

27. Limitation of Liability

To the fullest extent permitted by law, Syntelli Freight Systems Inc., its owners, officers, directors, employees, contractors, agents, affiliates, vendors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or related to the Software or this Agreement.

This includes, without limitation, damages for lost profits, lost revenue, lost savings, lost business opportunities, lost data, data corruption, business interruption, reputational harm, system failure, service outages, replacement costs, unauthorized access, or third-party service failures.

To the fullest extent permitted by law, Syntelli Freight Systems Inc.’s total liability for any claim arising out of or related to this Agreement or the Software shall not exceed the amount you paid directly to Syntelli Freight Systems Inc. for the Software during the three months immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

28. Indemnification

You agree to defend, indemnify, and hold harmless Syntelli Freight Systems Inc., its owners, officers, directors, employees, contractors, agents, affiliates, vendors, licensors, and service providers from and against any claims, demands, damages, losses, liabilities, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:

• Your use or misuse of the Software;
• Your violation of this Agreement;
• Your violation of any law, regulation, contract, or third-party right;
• Your User Content or submitted information;
• Your unauthorized access to or use of the Software;
• Your negligence, misconduct, fraud, or willful misconduct;
• Your freight, logistics, transportation, compliance, carrier, shipper, vendor, or business activities.

29. Injunctive Relief

You acknowledge that unauthorized use, copying, disclosure, reverse engineering, distribution, or misuse of the Software or confidential information may cause irreparable harm to Syntelli Freight Systems Inc. Syntelli Freight Systems Inc. may seek injunctive or equitable relief in addition to any other remedies available under law.

30. Governing Law

This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law principles, unless applicable law requires otherwise.

31. Dispute Resolution and Venue

Any dispute, claim, or controversy arising out of or related to this Agreement, the Software, or your use of the Software shall be brought in the state or federal courts located in Illinois, unless otherwise required by applicable law. You consent to the personal jurisdiction and venue of those courts.

32. Electronic Communications and Records

You agree that this Agreement, notices, disclosures, updates, consents, and other communications may be provided electronically. You agree that electronic records and electronic acceptance of this Agreement satisfy any requirement that such communications or agreements be in writing, to the extent permitted by applicable law.

33. Assignment

You may not assign, transfer, delegate, or sublicense this Agreement or your rights under it without prior written consent from Syntelli Freight Systems Inc. Syntelli Freight Systems Inc. may assign or transfer this Agreement in connection with a merger, acquisition, reorganization, sale of assets, financing, corporate transaction, or by operation of law.

34. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified or interpreted to achieve its intended purpose as closely as permitted by law.

35. No Waiver

Syntelli Freight Systems Inc.’s failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Syntelli Freight Systems Inc.

36. Force Majeure

Syntelli Freight Systems Inc. will not be liable for any delay, failure, interruption, or loss caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, war, terrorism, civil unrest, government action, power failures, internet outages, hosting failures, cyberattacks, third-party service failures, supply chain disruptions, pandemics, or other events beyond reasonable control.

37. Entire Agreement

This Agreement, together with our Terms of Service, Privacy Policy, and any separate written agreement applicable to specific services, constitutes the entire agreement between you and Syntelli Freight Systems Inc. regarding the Software and supersedes all prior or contemporaneous understandings, communications, or agreements regarding the same subject matter.

38. Changes to This Agreement

Syntelli Freight Systems Inc. may update this Agreement from time to time. When changes are made, the “Last Updated” date will be revised. Your continued use of the Software after an updated Agreement is posted means you accept the updated Agreement.
